Application of section 193 in relation to PLC

Section 1093 deals with how the rules on unanimous written resolutions apply to public limited companies (PLCs), and the ability of a PLC's constitution to override those rules.

  • Section 193, which permits members to pass unanimous written resolutions without holding a formal meeting, applies to PLCs.
  • This applies notwithstanding any other provision in the Companies Act 2014 that might suggest otherwise.
  • However, unlike a private company limited by shares, a PLC's constitution may provide that unanimous written resolutions are not permitted or may restrict their use.
  • Where the PLC's constitution does contain such a provision, the constitution takes precedence over the default rule allowing written resolutions.
