Companies Act 2014 section 1379

Interpretation (Chapter 4)

Section 1379 defines the key terms used throughout Chapter 4, which deals with transparency requirements for issuers of securities admitted to trading on regulated markets.

  • "Minister" in this Chapter means the Minister for Finance, not the Minister for Enterprise.
  • The "Transparency (Regulated Markets) Directive" is EU Directive 2004/109/EC, which harmonises disclosure requirements for companies whose securities are traded on regulated markets.
  • "Transparency (regulated markets) law" covers all Irish measures implementing the Directive, all directly applicable EU measures arising from it, and any supplementary national measures adopted in connection with those EU measures.
  • Any term used in this Chapter that also appears in the Transparency (Regulated Markets) Directive carries the same meaning as it does in the Directive.
