Participation in general meeting by electronic means

Section 1106 sets out the rules under which a traded public limited company may allow its members to participate in general meetings by electronic means, including voting, live broadcasts, and two-way communication.

  • A traded PLC may offer electronic participation in general meetings, including remote voting without requiring physical attendance or a proxy, live streaming, and real-time two-way communication from remote locations.
  • Any requirements or restrictions placed on electronic participation must be limited to verifying participant identity and securing electronic communications, and must be proportionate to those objectives.
  • Members must be informed of any requirements or restrictions the company imposes for electronic participation.
  • The company must, as far as practicable, ensure the security of electronic communications, minimise the risk of data corruption and unauthorised access, verify the source of communications, and remedy any failures or disruptions as soon as possible.
