Share acquisition agreements β€” attribution of interests held by other parties

Section 806 deals with how interests in shares are attributed among the parties to a share acquisition agreement, so that each party is treated as having an interest in all shares held by every other party to the agreement.

  • Where a share acquisition agreement exists, each party is deemed to hold an interest in all company shares that any other party holds, regardless of whether those shares were acquired under the agreement
  • A party's interest "apart from the agreement" means any interest they hold in shares that does not arise solely from the attribution rules in this section and section 808
  • Interests attributed to a party under other provisions of the same chapter, or under other share acquisition agreements to which that party belongs, also count as interests apart from the agreement
  • The practical effect is that when assessing disclosure obligations under section 803, the total relevant interest of each party is expanded to include all shares held by fellow agreement parties
