Limitation on number of directorships

Section 1258 limits the number of directorships a person may hold when one or more of those directorships is in an unlimited company.

  • A person may not hold more than 25 directorships in unlimited companies of any type at any given time.
  • The same cap of 25 applies where the directorships are split across a mix of unlimited companies and other company types capable of being wound up under the Act.
  • This rule modifies the general directorship limit in section 142 specifically for the purposes of unlimited companies.
  • The restriction applies regardless of the particular sub-type of unlimited company involved.
