Entries, when not to be removed

Section 1068 sets out the rules preventing a public limited company from improperly deleting entries from its register of interests in shares and the consequences of doing so.

  • Entries in the interests-in-shares register maintained by a PLC may only be deleted in accordance with the formal removal process set out in the Act.
  • If an entry is wrongly deleted from the register, the PLC must restore it as soon as is reasonably practicable.
  • Failure to comply with either the prohibition on improper deletion or the duty to restore an entry is a category 3 offence.
  • Both the PLC itself and any officer in default may be found guilty of the offence.
