Return to be made to Registrar

Section 116 requires a company that has acquired its own shares to file a return with the Registrar within 30 days, detailing the shares acquired.

  • A company must file a return with the Registrar within 30 days of receiving shares it has acquired under Part 3 of the Act
  • The return must state, for each class of shares acquired, the number of shares, their nominal value, and the date they were delivered to the company
  • Details of shares delivered on different dates or under different contracts may be combined into a single return
  • Failure to comply is a category 3 offence for both the company and any officer in default
