Sanctions for contravention of section 142 and supplemental provisions

Section 143 sets out the penalties and consequences for breaching the limit on the number of directorships a person may hold, and provides supplemental rules for determining the order of appointments.

  • A person who exceeds the permitted directorship limit commits a category 4 offence β€” it is the individual accepting the appointment, not the company, who is liable
  • Any appointment that breaches the directorship limit is automatically void, but earlier valid appointments remain unaffected
  • Each excess appointment counts as a separate offence
  • Where multiple appointments are made simultaneously or cannot be distinguished in time, the order is deemed to follow the order in which the respective companies were registered
