Duties of chairperson

Section 700 sets out the duties of the chairperson of a meeting held during the liquidation of a company, including record-keeping obligations and the criminal penalty for non-compliance.

  • The chairperson must ensure that minutes of the meeting are drawn up and entered into a dedicated minute book.
  • The minutes must be signed by the chairperson or, failing that, by the chairperson of the next meeting.
  • A list of all creditors, contributories or members present at the meeting must be compiled in the prescribed format and signed by the chairperson.
  • Failure to comply with either of these duties is a category 3 offence.
