Saver for existing Transparency Regulations

Section 1381 preserves the validity of existing transparency regulations that were already in force under earlier legislation, ensuring they continue to operate under the Companies Act 2014 framework.

  • Transparency regulations made under section 20 of the Investment Funds, Companies and Miscellaneous Provisions Act 2006 continue in force as if made under section 1380 of the Companies Act 2014, and may be amended or revoked under that new power.
  • References in Regulation 76(6) of the Transparency (Directive 2004/109/EC) Regulations 2007 (S.I. No. 277 of 2007) to section 21 of the 2006 Act are to be read, after commencement, as references to section 1382 of the Companies Act 2014.
  • The updated cross-reference does not interfere with the operation of section 27 of the Interpretation Act 2005, which protects ongoing or future prosecutions for offences committed before the repeal of the earlier legislation.
  • This saving provision mirrors similar provisions in sections 1355 and 1367 of the Companies Act 2014, which preserve existing prospectus regulations and market abuse regulations respectively.
