Companies Act 2014 section 769

Director may lift restrictions imposed on shares under section 768

Section 769 sets out the circumstances in which the Corporate Enforcement Authority may direct that restrictions previously imposed on shares be lifted.

  • The Authority may lift share restrictions where it is satisfied that the relevant facts about the shares have been disclosed to it.
  • Restrictions may also be lifted where the shares are to be sold and the court or the Authority approves the sale.
  • This power applies to restrictions originally imposed under section 768, which restricts shares where ownership information has not been provided during an investigation.
  • This lifting power does not affect any separate direction the Authority may have issued regarding restrictions continued in force under section 775.
