Particulars of interests referred to in section 806 to be given in compliance with disclosure order

Section 807 sets out the additional information that must be provided when complying with a disclosure order where the person with an interest in shares is, or was, a party to a share acquisition agreement.

  • A person who is or was party to a share acquisition agreement must state this fact when responding to a disclosure order, specifying the relevant time
  • The names and, so far as known, the addresses of all other parties to the agreement must be provided, with those individuals clearly identified as parties
  • The person must declare whether any of the shares covered by the disclosure order are shares in which they hold or held an interest by virtue of the share acquisition agreement rules under sections 806 and 808, and if so, state the number of those shares
  • These additional particulars are required on top of any other information the person is already obliged to provide under the disclosure order
