Notice of increase of share capital

Section 93 requires companies with an authorised share capital stated in their constitution to notify the Registrar of any increase in share capital within 30 days of passing the relevant resolution.

  • This section applies only to companies whose constitution states an authorised share capital.
  • When a company increases its share capital beyond the registered amount, it must notify the Registrar within 30 days of passing the resolution to increase.
  • The notice must include prescribed particulars about the classes of shares affected and the conditions under which the new shares have been or are to be issued.
  • Failure to comply is a category 3 offence, applying to both the company and any officer in default.
