Registration and publication of confirmation of division

Section 1168 sets out the steps that must be followed to register and publish a court order confirming a company division, including the obligations of the court officer and the Registrar.

  • When a court confirms a division, a designated court officer must immediately send a certified copy of the order to the Registrar.
  • The Registrar must register the certified copy and the dissolution of the transferor company on, or as soon as practicable after, the effective date of the division.
  • Within 14 days of receiving the court order, the Registrar must publish a notice in the CRO Gazette confirming that the order has been delivered.
  • This procedure mirrors the equivalent registration and publication requirements for mergers under section 1146 of the Act.
