Register of members

Section 1261 sets out the rules for how a public unlimited company (PULC) without share capital must maintain its register of members, adapting the general register requirements from Section 169 of the Act.

  • A PULC must keep a register of members, but because it has no share capital, the register requirements are simplified compared to those for share-based companies.
  • The register need only record the names and addresses of the members, rather than the more detailed share-related information required for other company types.
  • Subsection (5) of Section 169, which deals with matters not relevant to a company without share capital, is disapplied entirely for a PULC.
  • All other provisions of Section 169 regarding the maintenance of a register of members continue to apply to a PULC without modification.
