Copies of constitution to be given to members

Section 37 deals with a company's obligation to provide copies of its constitution to members upon request, including the charges that may apply and the requirement to keep copies up to date with any amendments.

  • A company must send a copy of its constitution to any member who requests one, free of charge on the first occasion.
  • For any subsequent request from the same member, the company may charge a fee of €5.00.
  • Any copy of the constitution issued after an amendment has been made must reflect that amendment.
  • Failure to comply with these requirements is a category 4 offence for the company and any officer in default.
