Company reports on investigation

Section 1065 sets out the reporting obligations of a PLC following an investigation into interests in shares that was requisitioned by its members.

  • When a PLC concludes a shareholder-requisitioned investigation into interests in shares, it must prepare a final report of all information received during the investigation.
  • If the investigation is not completed within three months of the requisition being deposited, the PLC must prepare interim reports covering each successive three-month period until the investigation concludes.
  • Within three days of making any report (whether final or interim) available for inspection, the PLC must notify the members who requisitioned the investigation.
  • Failure by the PLC or any of its officers to comply with these reporting requirements constitutes a category 3 offence.
