Meetings of classes of shareholders

Section 1161 deals with how the rights attached to different classes of shares must be handled when a company division affects those rights.

  • Where a company involved in a division has different classes of shares, the variation of rights rules apply to any changes caused by the division
  • For companies other than private companies limited by shares, specific variation of rights provisions (sections 982, 1044 or 1250) apply depending on the company type
  • For private companies limited by shares, the variation of rights provisions in Chapter 4 of Part 3 of the Act apply instead
  • Certain provisions are expressly excluded: section 88(9), section 982(10), and section 89
