Bills of exchange and promissory notes

Section 46 deals with when a bill of exchange or promissory note is considered to have been made, accepted, or endorsed on behalf of a company.

  • A bill of exchange or promissory note is deemed to be made on behalf of a company if it is created in the company's name by an authorised person.
  • The same applies where such an instrument is accepted or endorsed by or on behalf of the company.
  • The person carrying out the action must be acting under the company's authority for it to be binding on the company.
  • This provision covers instruments made in the name of, by, on behalf of, or on account of the company.
