Companies Act 2014 section 367

Content of revised financial statements or revised report

Section 367 establishes the general principle that revised financial statements and revised directors' reports must meet the same content requirements as the originals, assessed as at the date of the original documents.

  • All statutory requirements for the content of financial statements apply equally to revised financial statements, as though they were prepared and approved on the date of the originals.
  • Revised financial statements must present a true and fair view of the company's affairs as at the date of the original statutory financial statements.
  • For Companies Act financial statements, the accounting principles and valuation rules in Schedule 3, 3A or 3B apply to the revised statements by reference to the signing date of the originals.
  • The same content requirements that govern a directors' report also apply to any revised directors' report, treated as though prepared and approved on the date of the original report.
