Right to demand a poll

Section 1207 applies the rules on the right to demand a poll at general meetings to Companies Limited by Guarantee (CLGs), with one modification relating to the threshold of members who may demand a poll.

  • The general rules on demanding a poll at meetings (from Section 189) apply to CLGs.
  • Any provision in a CLG's constitution that purports to exclude the right to demand a poll is void.
  • A poll may be demanded by the chairperson, by at least three members present in person or by proxy, or by any member or members representing at least ten per cent of the total voting rights.
  • The rule allowing members holding at least ten per cent of the paid-up share capital to demand a poll does not apply to CLGs, as these companies do not have share capital.
