Companies Act 2014 section 1158

Inspection of documents

Section 1158 sets out the requirements for making division-related documents available for inspection by members of each company involved in a division.

  • Each company in a division must make key documents β€” including the draft terms of division, financial statements, directors' and experts' reports, and division financial statements β€” available free of charge for inspection by any member at its registered office during business hours
  • These documents must be available for at least 30 days before the general meeting at which the division is to be considered, and where a company has traded for fewer than three years, only the financial statements for those years need be provided
  • As an alternative to physical inspection, a company may instead publish the documents free of charge on its website for a continuous period of at least two months, beginning at least 30 days before and ending at least 30 days after the relevant general meeting
  • If the company's website is disrupted for 24 continuous hours or for separate periods totalling 72 hours or more, the two-month publication period must be extended by the length of the disruption
