The Corporate Enforcement Authority is a legally constituted entity, with its official seal, and the ability to initiate or defend legal actions. It has the power, subject to the consent of the Minister and the Minister for Public Expenditure and Reform, to acquire, hold, and dispose of both real estate and other forms of property.

The seal of the Authority is authenticated by the signature of a member of the Authority and a member of the Authority's staff who is authorised for this specific task. This involves:

• An Authority member
• An authorised staff member from the Authority

The courts recognize the seal of the Authority. Any document that appears to be sealed by the Authority is accepted as evidence and deemed valid, unless proven otherwise.

Any contract or agreement that does not require a seal if undertaken by an individual, can be entered or executed on behalf of the Authority by anyone they authorise.

A Member of the Authority will cease to hold that role if they become:

• A member of Seanad Éireann
• An elected member of either house of the Irish Parliament, a Member of the European Parliament
• Deemed as an elected member to the European Parliament under Part XIII of the Second Schedule to the European Parliament Elections Act 1997
• An elected or co-opted member of a local authority

Conversely, anyone who has the right under the standing orders of either house of the Irish Parliament or a local authority to sit as a member, or if they are a Member of the European Parliament, is disqualified from being a member of the Authority or from being employed by the Authority in any capacity.
