Way of forming an investment company

Section 1390 sets out how an investment company may be formed, the various routes by which a body corporate can become registered as an investment company, and the limited liability of its members.

  • An investment company can be formed for any lawful purpose by persons subscribing to a constitution and following the registration rules applicable to investment companies
  • Alternative routes to registration include re-registration or conversion of an existing body corporate, merger, division, cross-border continuance into Ireland, or cross-border conversion, merger or division under EU regulations
  • A member's liability is limited to any amount unpaid on the shares registered in that member's name
  • The limited liability protection does not override any other obligations a member may have under the Companies Act
