Entitlement to attend and notice

Section 691 sets out who is entitled to attend meetings of creditors, contributories and members during a liquidation, and the notice requirements the liquidator must follow when calling such meetings.

  • Creditors, contributories and members shown in the company's books are entitled to attend their respective meetings during a liquidation.
  • The liquidator must send written notice of any meeting at least 7 days before the meeting date, specifying the time, place and subject matter in the prescribed form.
  • Notices must be sent to specific addresses: for creditors, the address in their proof of debt or the statement of affairs; for contributories and members, the address in the company's books or any other address known to the liquidator.
  • A meeting and its resolutions remain valid even if some entitled persons did not receive the notice, unless the court orders otherwise.
