Change of name

Section 30 sets out the procedure by which a company may change its registered name, including where the Registrar considers the name too similar to that of an existing company.

  • A company may change its name by passing a special resolution and obtaining the written approval of the Registrar.
  • Where a company's name is too similar to that of an existing company, the Registrar may approve a voluntary change or direct the company to change its name within six months of registration, with compliance required within six weeks of the direction.
  • A change of name does not affect the company's rights, obligations, or any legal proceedings, which may continue or commence under the new name.
  • Companies whose names were specified by statute may also change their names, but the Registrar must first consult any relevant Government Minister responsible for administering that statute.
