Registration and publication of documents

Section 1157 sets out the requirements for registering and publishing the common draft terms of division, including an alternative website publication option and rules for dealing with website disruptions.

• Each company involved in a division must file a signed copy of the common draft terms of division with the Registrar and publish notice of this in the CRO Gazette, at least 30 days before the general meeting to consider those terms.
• As an alternative, a company may instead publish the signed common draft terms free of charge on its website for a continuous period of at least two months, starting at least 30 days before the general meeting and ending at least 30 days after it.
• Where a company uses the website alternative, it must still announce the online publication in the CRO Gazette and in at least two daily newspapers circulating in the area where the company's registered office or principal place of business is located.
• If the company's website suffers disruption for a continuous period of at least 24 hours, or for separate periods totalling at least 72 hours, the required two-month publication period must be extended by a corresponding amount of time.
