Companies Act 2014 section 131

Prohibition of minor being director or secretary

Section 131 prohibits the appointment of any person under the age of 18 as a director or secretary of a company and sets out the consequences of any such appointment.

• A person must be at least 18 years old to be appointed as a director or secretary of a company.
• Any purported appointment of a person under 18 as a director or secretary is automatically void and has no legal effect.
• Any director who was under 18 at the time this provision commenced automatically ceased to hold office as director on that date.
• Where a director ceased to hold office under this provision, the company was required to update its register of directors and notify the Registrar of the change.
