Access to documents during business hours

Section 127 sets out the rules governing public or member access to company documents during business hours, including the minimum time that must be allowed for inspection and the company's ability to impose reasonable restrictions.

  • Where a company is required to make a document available for inspection, it must allow at least 2 hours each day for that inspection to take place.
  • The company may impose reasonable restrictions on inspection, but only if those restrictions are approved by the members in general meeting.
  • Any restrictions imposed must not reduce the daily inspection time below the 2-hour minimum.
  • These inspection rules apply not only to documents covered by Part 4 of the Act but also to documents referred to in Chapter 10, which deals with the inspection of registers and related matters.
