CLG to carry on activity in the State

Section 1175 requires that a Company Limited by Guarantee (CLG) may only be formed and registered if the Registrar is satisfied that the company will carry on an activity in the State that is specified in its memorandum.

  • A CLG cannot be formed and registered unless the Registrar is satisfied it will carry on an activity in the State
  • The activity the CLG intends to carry on must be one that is mentioned in its memorandum
  • This requirement mirrors the equivalent provision for private companies limited by shares under section 18 of the Act
  • The Registrar acts as gatekeeper, assessing at the point of registration whether the CLG will genuinely operate in the State
