Companies Act 2014 section 182

Quorum

Section 182 sets out the minimum number of members who must be present at a general meeting before any business can be validly conducted, and what happens if that minimum is not met.

  • No business may be transacted at a general meeting unless a quorum of members is present when the meeting proceeds to business.
  • The default quorum is two members present in person or by proxy, or one member in the case of a single-member company, unless the company's constitution specifies otherwise.
  • If a quorum is not present within 15 minutes of the scheduled start time, a meeting requisitioned by members is dissolved; any other meeting is adjourned to the same day, time and place the following week (or as the directors determine).
  • At any such adjourned meeting, if a quorum is still not present within 30 minutes, the members who are present are deemed to constitute a quorum and the meeting may proceed.
