Company investigations concerning interests in shares

Section 1062 empowers a public limited company (PLC) to investigate who holds or has recently held interests in its shares by issuing written notices requiring disclosure of relevant information.

  • A PLC may issue a written notice to anyone it knows or reasonably believes to hold, or to have held within the previous three years, an interest in the company's relevant share capital, requiring them to confirm the position and provide further details.
  • The notice can require the person to identify themselves and any other parties with interests in the same shares, including whether those parties are or were involved in share acquisition agreements or arrangements relating to the exercise of rights attached to the shares.
  • All information requested must be provided in writing within a reasonable period specified in the notice, which cannot exceed five days.
  • The investigation powers extend not only to those holding interests in existing shares but also to anyone who has, had, or is entitled to acquire a right to subscribe for shares that would form part of the PLC's relevant share capital once issued.
