Supplemental provisions in relation to section 701: time for lodging proxies, etc.

Section 702 sets out the practical rules for lodging proxy documents in a winding up, including deadlines, who may act as proxy, and special provisions for creditors who cannot write and for corporate creditors.

  • Proxy documents must be lodged with the appropriate person (liquidator, registered office, or named contact) no later than 4pm on the day before the meeting at which the proxy is to be used.
  • A minor may not be appointed as a general or special proxy.
  • Where a creditor cannot write due to blindness or other physical disability, the proxy may be accepted if signed or marked in the presence of a witness who handwrites all insertions and certifies they were made at the creditor's request.
  • Where a company is a creditor, a person authorised under that company's seal may complete and sign the proxy form on the company's behalf and appoint themselves as the company's proxy.
