Power of director to act in a professional capacity for company

Section 230 deals with a director's right to provide professional services to the company on which they serve as a director, and to be paid for those services.

  • A director may personally, or through their firm, provide professional services to the company on which they serve as a director, unless the company's constitution says otherwise
  • The director or their firm is entitled to be paid for those professional services on the same basis as if they were not a director of the company
  • This right does not extend to acting as the company's statutory auditor β€” a director or their firm cannot serve in that role
  • All of these provisions are default rules that can be modified or restricted by the company's own constitution
