Interpretation (Part 20)

Section 1283 defines the key terms used throughout Part 20 of the Act, which deals with the re-registration of companies from one company type to another.

  • A resultant company is the new company that comes into being when a company completes the re-registration process and receives its new certificate of incorporation.
  • The resultant company type is the specific type of company that the re-registering company has chosen to become, as set out in its special resolution.
  • A statement of compliance is a formal declaration required as part of the re-registration procedure, the details of which are set out in section 1285.
  • Any word or expression defined elsewhere in earlier parts of the Act carries the same meaning in Part 20, unless the Act specifically provides otherwise.
