Execution of instruments during interim period

Section 43A provides an alternative method for companies to execute formal instruments by allowing the required signatures and seal to appear on separate identical copies of the same document, rather than requiring everything on a single document.

  • A company instrument may be split across several identical documents, with each carrying a different required signature or seal
  • For standard company instruments, the separate documents must between them carry a director's signature, a secretary's or second director's signature, and the company seal
  • Where a registered person is exercising the company's powers, their signature on a separate copy is also required in addition to the director, secretary/director, and seal
  • Multiple documents executed in this way are legally valid and effective as though they were a single document
