Companies Act 2014 section 984A

Interpretation

Section 984A defines the key terms used throughout this Chapter, which deals with dematerialised securities issued by Designated Activity Companies (DACs) that are traded on a trading venue.

  • Applicable securities are transferable securities issued by a DAC and admitted to trading or traded on a trading venue β€” essentially, listed or traded financial instruments issued by that type of company.
  • A certificate is any document evidencing title to applicable securities, but expressly excludes the register of securities itself.
  • A nominee is any body appointed by or on behalf of a central securities depository to hold applicable securities within that depository's settlement system.
  • A relevant issuer is specifically a Designated Activity Company (DAC) that has issued securities which qualify as applicable securities under this Chapter.
