Companies Act 2014 section 1315

Registration as a company of body to which section 1312(1) applies

Section 1315 sets out the rules allowing certain unregistered corporate bodies to apply for registration as one of the recognised company types under the Companies Act 2014.

  • Eligible unregistered bodies (other than excluded bodies or joint stock companies) may apply to register as a private company limited by shares, a designated activity company, a public limited company, a company limited by guarantee, or an unlimited company
  • Registration remains valid even if it was carried out with a view to the company subsequently being wound up
  • The Governor and Company of the Bank of Ireland is specifically included as eligible to register under this provision, and is excluded from the joint stock company rules in Chapter 5
  • Societies registered under the Industrial and Provident Societies Acts 1893 to 2014 are also eligible to apply for registration under this section
