Companies Act 2014 section 21

Registration of constitution

Section 21 sets out the documents that must be delivered to the Registrar of Companies when registering a company's constitution, and confirms that the Registrar must be satisfied all legal requirements are met before registration can proceed.

• The company's constitution must be delivered to the Registrar of Companies for registration
• Accompanying documents must include the statement and consent required by section 22 and the declaration required by section 24
• Where applicable, a bond under section 22(6) and an additional statement under section 23 must also be provided
• The Registrar will not register the constitution unless satisfied that all statutory requirements for registration have been complied with
