Alteration of articles by special resolution

Section 1015 deals with the power of a public limited company (PLC) to alter or add to its articles of association by passing a special resolution.

  • A PLC may alter or add to its articles of association by special resolution, provided this is consistent with the Companies Act 2014 and the conditions in its memorandum.
  • Any changes or additions made to the articles are treated as though they were part of the original articles from the outset.
  • Alterations made under this section are themselves subject to further amendment by special resolution in the future.
  • All alterations remain subject to the overriding provisions of the Companies Act 2014.
