Transmission of shares in special circumstances (including cases of mergers)

Section 97 deals with how shares can be registered in special circumstances, such as the death of a sole member-director or where a merger results in shares being transmitted by operation of law.

  • The Minister may prescribe procedures for validly registering shares where the sole member and only director of a single-member company has died
  • The Minister may also prescribe procedures for other cases where registering shares proves difficult
  • Where shares in one company held by another company are transmitted as a result of a merger, alternative registration procedures to those in section 96 may be used
  • The directors of the company whose shares are being transferred may determine those alternative procedures, subject to the company's constitution and any court order under Part 9
