Persons entitled to notice of general meetings

Section 1204 sets out which persons are entitled to receive notice of general meetings in a Company Limited by Guarantee (CLG), by applying the standard rules in section 180 but with certain exclusions relevant to the particular nature of guarantee companies.

  • The general rules on notice of general meetings (section 180) apply to CLGs, but with specific modifications.
  • Provisions relating to joint membership of a CLG are omitted, as they are not applicable to guarantee companies.
  • Personal representatives of deceased members do not have the right to receive notice of meetings.
  • The exclusion of personal representatives reflects the rule in section 1199 that a member's death automatically terminates their membership of the CLG.
