Companies Act 2014 section 1152

Division may not be put into effect save under and in accordance with this Chapter

Section 1152 establishes that a division of a public limited company can only be carried out in strict compliance with the rules set out in this Chapter and any other applicable legal requirements.

  • A division cannot be implemented unless it follows the procedures and requirements set out in this Chapter of the Companies Act 2014.
  • Compliance with this Chapter alone is not sufficient β€” any approvals, authorisations, or consents required by other legislation must also be obtained.
  • EU regulations that require consent or approval for a division to proceed must also be satisfied.
  • A division that lacks any required approval or authorisation under any applicable law cannot take effect, regardless of compliance with this Chapter.
