Registration and publication of confirmation of division

Section 505 deals with the steps that must be taken to register and publicise a court order confirming a company division.

  • When a court confirms a division, a certified copy of the order must be sent promptly to the Registrar by a designated court officer.
  • The Registrar must register the certified copy and the dissolution of the transferor company on or as soon as practicable after the effective date.
  • Within 14 days of receiving the order, the Registrar must publish a notice in the CRO Gazette stating that the court order has been delivered.
  • This section mirrors the equivalent registration and publication requirements for mergers set out in section 482.
