Number of directors of a PLC

Section 1088 sets out the minimum number of directors required for a public limited company (PLC) and disapplies certain provisions relating to sole directors.

  • A PLC must have at least two directors at all times.
  • This contrasts with private companies limited by shares, which may operate with a single director under the Act.
  • Any provisions in Parts 1 to 14 of the Act that deal with companies having a sole director do not apply to PLCs.
  • PLCs must therefore always ensure that a minimum of two individuals are appointed to serve as directors.
