Saver for existing Prospectus Regulations

Section 1355 preserves the validity of existing prospectus regulations that were originally made under earlier legislation, ensuring they continue in force under the Companies Act 2014 framework.

  • Regulations previously made under section 46 of the Investment Funds, Companies and Miscellaneous Provisions Act 2005 continue in force as if made under section 1354 of the Companies Act 2014, and may still be amended or revoked.
  • References in Regulation 107(4) of the Prospectus (Directive 2003/71/EC) Regulations 2005 to section 47 of the 2005 Act are now to be read as references to section 1356 of the Companies Act 2014.
  • The updating of these cross-references does not affect the general saving provisions in Schedule 6 or section 26 of the Interpretation Act 2005.
  • Prosecutions for offences committed under section 47 of the 2005 Act before its repeal are not affected, whether those prosecutions were initiated before or after the repeal took effect.
