Interpretation (Chapter 5)

Section 1337 defines the key terms used in Chapter 5, which deals with the registration of joint stock companies under the Companies Act 2014.

  • A joint stock company is one with permanent paid-up or nominal share capital of a fixed amount, divided into fixed shares or held as transferable stock, or a combination of both.
  • Only holders of the company's shares or stock may be its members β€” no other persons can hold membership.
  • When a joint stock company registers with limited liability under this chapter, it is treated as a company limited by shares.
  • The terms "registration date" and "registration resolution" take their meanings from sections 1343 and 1338 respectively.
