Provisions consequent on participation by PLC in system for uncertificated transfer of securities

Section 1094 sets out the consequences that follow when a public limited company (PLC) participates in a system for the electronic (uncertificated) transfer of securities, and defines the key term "participating issuer" for this purpose.

  • Where a PLC is a "participating issuer" in an electronic securities transfer system, the rules in sections 1095 (attendance and voting at meetings) and 1096 (notice of meetings) apply to it.
  • These rules operate alongside, and do not override, the additional shareholder rights set out in sections 1099 to 1110, which implement the EU Shareholders' Rights Directive.
  • A "participating issuer" takes its meaning from the Companies Act 1990 (Uncertificated Securities) Regulations 1996 (S.I. No. 68 of 1996), which remain in force under Schedule 6 of the 2014 Act.
  • If new regulations are made under section 1086 that replace or amend the 1996 Regulations, the definition of "participating issuer" is taken from those replacement or amended regulations instead.
