Savings and transitional provisions

Section 5 deals with the transitional arrangements ensuring continuity when the Companies Act 2014 replaced earlier companies legislation, covering company registrations, documents, appointments, registers, and funds.

  • Companies already registered under repealed legislation remain validly incorporated, and the specific treatment of private companies limited by shares incorporated under former enactments is set out in Chapter 6 of Part 2
  • Any document referring to a former companies enactment is to be read as referring to the corresponding provision in the Companies Act 2014, and any person holding office under a former enactment is deemed to have been appointed under the equivalent provision of the new Act
  • Registers kept under former enactments are deemed part of the registers required under the new Act, and all funds and accounts constituted under the Act are treated as continuations of those established under the former legislation
  • Schedule 6 contains further savings and transitional provisions, and this section operates without prejudice to the Interpretation Act 2005 or to any specific transitional provisions elsewhere in the Act
