Proof of certificate as to overseas incorporation

Section 879 deals with how a certificate of overseas incorporation or registration can be used as evidence in proceedings under Parts 1 to 15 of the Companies Act 2014.

  • The section applies when the existence of a foreign body corporate or undertaking is alleged or in dispute in proceedings under Parts 1 to 15 of the Act
  • A "relevant certificate" must be signed by a person claiming to hold the office of registrar of companies, assistant registrar, or a similar role in a prescribed country
  • The certificate must confirm that the named body corporate or undertaking is incorporated or registered in that country
  • Such a certificate is accepted as prima facie evidence of overseas incorporation or registration, without needing to prove the signatory's signature or that they actually hold the office claimed
